§01

Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you and PerfectPaper, Inc. ("PerfectPaper," "we," "us") governing your access to and use of our website, applications, and services (together, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy notice.

If you are agreeing on behalf of an institution or organization, you represent that you have authority to bind it, and "you" refers to that organization. If you do not agree, please do not use the Services.

Your account

You must be at least 18 years old to use the Services. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your password and any API keys, and for all activity that occurs under your account.

Notify us promptly at [email protected] if you suspect unauthorized use. We are not liable for losses arising from your failure to keep your credentials secure.

Acceptable use

You agree not to:

  • upload content you do not own or have permission to submit;
  • use the Services to violate the law or infringe anyone's rights;
  • attempt to access accounts, data, or systems that are not yours;
  • probe, scrape, or overload the Services, or circumvent rate limits or access controls;
  • reverse engineer our models or resell the Services without our written consent;
  • submit malware or any content designed to disrupt the Services.

We may suspend access to protect the Services or other users while we investigate suspected misuse.

Your manuscripts and content

You retain all rights to the manuscripts, documents, and other materials you upload ("Your Content"). We claim no ownership of it.

You grant PerfectPaper a limited, worldwide, non-exclusive, royalty-free license to host, process, and display Your Content solely to provide the Services to you — for example, to generate feedback and let you act on it. This license ends when you delete the content or close your account, except for backups that age out on our normal retention schedule.

We do not use Your Content to train large language models, and we do not sell or share it with third parties except the service providers needed to operate the Services, under confidentiality obligations. Our handling of Your Content is described in full in the Privacy notice.

§05

How PerfectPaper reviews work

PerfectPaper uses artificial intelligence to read your manuscript and return structured, sourced feedback as comments you can dismiss, address, or undo. The feedback is intended to support your revision, not to replace peer review, editorial decisions, or your professional judgment.

AI-generated feedback can be incomplete or wrong. You are responsible for evaluating it before acting on it. We make no promise that using PerfectPaper will result in acceptance, publication, or any particular outcome.

Credits, plans, and refunds

Your first manuscript review is free. After that, reviews are paid — either by purchasing credits or by subscribing to a plan. Current pricing is shown at checkout and on our pricing page, and may change with notice for future purchases.

One credit is charged when a review begins. Purchased credits do not expire while your account is active. Subscriptions renew automatically until cancelled; you can cancel anytime and keep access through the end of the paid period.

If a review fails for a reason on our side, we will restore the credit. Beyond that, fees are non-refundable except where required by law or stated in writing. Payments are handled by our payment processor; you agree to keep your billing details accurate.

Organizations and workspaces

PerfectPaper lets organizations create shared workspaces. If you join one, an administrator may manage your membership, view workspace activity and content, and control billing and credits for the workspace. The organization is responsible for its members' use of the Services and for the content in its workspace.

§08

API access and keys

We may provide API access so you can use the Services programmatically. API keys are credentials — keep them secret, and treat any activity authenticated with your key as your own. We may set and adjust rate limits, and may revoke keys that are abused or compromised. API use is subject to all of these Terms.

Our intellectual property

The Services — including our software, models, designs, and the PerfectPaper name and marks — are owned by PerfectPaper and protected by intellectual-property laws. These Terms grant you no rights in them except the limited right to use the Services as permitted here. Feedback you choose to send us about the product may be used by us without restriction.

Service availability

We work to keep the Services reliable, but we do not guarantee they will be uninterrupted or error-free. We may modify, suspend, or discontinue features at any time, and will give reasonable notice of material changes where we can.

Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, your right to use the Services ends; sections that by their nature should survive — such as content licenses you've granted, disclaimers, and limits of liability — will survive.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services or any AI-generated feedback will be accurate, complete, or fit for your purpose.

§13

Limitation of liability

To the fullest extent permitted by law, PerfectPaper will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow these limits, so they may not apply to you.

§14

Indemnification

You agree to defend and indemnify PerfectPaper and its people from claims, damages, and costs arising from Your Content, your use of the Services, or your breach of these Terms or of anyone's rights.

§15

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Our failure to enforce a provision is not a waiver of it.

§16

Changes to these terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice — for example, by posting the updated Terms with a new effective date or by emailing you. Continuing to use the Services after changes take effect means you accept the revised Terms.
